These Terms of Service ("Terms") govern your access to and use of The 100K Server™ website, digital platforms, content, educational materials, memberships, courses, tools, products, services, and related offerings (collectively, the "Services").

The terms "The 100K Server™," "we," "us," and "our" refer to the entity operating The 100K Server™.

Our online store is powered by Shopify, which provides the e-commerce infrastructure that enables us to offer certain Services to you.

Accounts, memberships, course access, certifications, and licenses are issued to the purchaser or authorized user and may not be sold, transferred, shared, sublicensed, or assigned without our written permission.

Specific programs may also contain additional enrollment agreements, licensing provisions, certification requirements, cancellation policies, or other terms. When program-specific terms conflict with these general Terms, the program-specific terms will control with respect to that program.

3. INTELLECTUAL PROPERTY OWNERSHIP

The 100K Server™ is an intellectual-property-driven education and hospitality performance brand.

Unless otherwise expressly stated, all content and materials provided through the Services are owned by or licensed to The 100K Server™ and/or its applicable intellectual property owner.

This includes, without limitation:

  • Trademarks and service marks

  • Brand names and logos

  • Books and written materials

  • Workbooks

  • Journals

  • Training manuals

  • Curriculum

  • Course materials

  • Videos and audio recordings

  • Presentations

  • Assessments

  • Diagnostic systems

  • Calculators

  • Worksheets

  • Templates

  • Graphics

  • Website content

  • Training methodologies

  • Frameworks

  • Models

  • Processes

  • Systems

  • Terminology

  • Certification materials

  • Proprietary educational concepts

  • Other original or proprietary materials

These materials may be protected by copyright, trademark, trade-secret, contractual, and other applicable intellectual-property laws.

Purchasing a product does not mean purchasing the intellectual property contained within that product.

Except for the limited license expressly provided below, all rights remain reserved.

4. LIMITED LICENSE TO PURCHASERS

When you lawfully purchase or receive access to proprietary The 100K Server™ material, you receive a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use that material for the purposes authorized with your purchase.

Unless we expressly authorize otherwise in writing, you may not:

  • Copy or reproduce proprietary materials;

  • Sell or resell them;

  • Share purchased files or account credentials;

  • Upload materials to publicly accessible websites or file-sharing platforms;

  • Redistribute course, membership, workbook, or training materials;

  • Create derivative training programs from our proprietary materials;

  • Remove copyright, trademark, attribution, or proprietary notices;

  • Teach our proprietary curriculum commercially;

  • License our frameworks to another individual or organization;

  • Represent our intellectual property as your own;

  • Record or redistribute paid classes or training sessions;

  • Use our materials to create competing products, courses, certifications, or training systems; or

  • Commercially exploit our intellectual property without written authorization.

Purchase of a book, course, membership, certification, training program, or other product does not automatically grant you the right to become a trainer, instructor, consultant, representative, licensee, or authorized educator of The 100K Server™.

5. ARTIFICIAL INTELLIGENCE, DATA EXTRACTION & MODEL TRAINING

Except where expressly authorized by us in writing, proprietary The 100K Server™ content may not be uploaded, submitted, copied, scraped, extracted, ingested, or otherwise provided to artificial intelligence systems, machine-learning systems, large language models, automated content-generation systems, datasets, or similar technologies for the purpose of:

  • Training or fine-tuning a model;

  • Creating or expanding a dataset;

  • Reproducing our proprietary content;

  • Developing competing educational or commercial products;

  • Generating derivative training materials;

  • Extracting or reconstructing our frameworks, curriculum, methodologies, or systems; or

  • Commercial exploitation of our intellectual property.

You may not use automated scraping, crawling, extraction, agentic AI, bots, or similar technology to systematically obtain proprietary content from our Services without prior written authorization.

6. TRADEMARKS

The names, logos, slogans, product names, program names, certification names, and other brand identifiers associated with The 100K Server™ may constitute trademarks or other protected brand assets.

Nothing contained within the Services grants you permission to use our trademarks, branding, logos, certification marks, or confusingly similar names in connection with your own business, product, service, training, domain name, social-media account, advertising, or commercial activity without prior written authorization.

Participation in one of our programs does not authorize you to represent yourself as affiliated with, endorsed by, employed by, partnered with, or certified by The 100K Server™ unless we have expressly granted that status.

7. COURSES, TRAINING AND EDUCATIONAL PROGRAMS

Educational programs offered by The 100K Server™ are intended to provide hospitality education, professional development, behavioral performance concepts, sales education, and related training.

Enrollment is personal to the registered participant unless otherwise provided in a written enterprise or organizational agreement.

Course materials may not be copied, recorded, distributed, taught, resold, or commercially reproduced without authorization.

We reserve the right to modify instructors, curriculum, schedules, delivery methods, materials, or program structure when reasonably necessary.

Completion of a course or educational program does not guarantee employment, promotion, increased compensation, sales performance, business performance, or any specific professional outcome.

8. CERTIFICATIONS

Where The 100K Server™ offers certifications or professional designations, certification requirements will be governed by the standards applicable to that particular program.

Certification may require completion of coursework, examinations, assessments, continuing education, adherence to professional standards, or other requirements.

Obtaining certification does not transfer ownership of the underlying curriculum, frameworks, methodology, or intellectual property.

We reserve the right to suspend, revoke, decline to renew, or otherwise restrict use of a certification or designation when permitted under the applicable certification agreement or standards.

Certification-specific terms may supplement these Terms.

9. MEMBERSHIPS AND SUBSCRIPTIONS

Certain Services may be offered through recurring memberships or subscriptions.

By purchasing a recurring subscription, you authorize the applicable recurring charges disclosed at checkout until cancellation.

Pricing, billing frequency, included benefits, and cancellation procedures will be disclosed in connection with the applicable subscription.

Cancellation stops future eligible renewals but does not ordinarily create a retroactive refund for a billing period that has already begun, subject to our Refund Policy and applicable law.

Membership access and benefits are personal to the authorized member and may not be shared unless the membership specifically permits multiple users.

10. DIGITAL PRODUCTS AND DOWNLOADS

Digital products may provide immediate access to proprietary intellectual property.

Access to a digital product constitutes a limited license rather than a transfer or sale of ownership in the underlying intellectual property.

Digital purchases are governed by our Refund Policy.

You are responsible for ensuring that your device and software can access the purchased material.

11. PROFESSIONAL, FINANCIAL AND BUSINESS RESULTS DISCLAIMER

The 100K Server™ provides educational and professional-development information.

We do not guarantee that any individual will earn a particular amount of money, increase tips, increase sales, obtain employment, receive a promotion, improve restaurant revenue, increase check averages, achieve a particular return on investment, or obtain any other specific financial or professional result.

Any examples, case studies, testimonials, income discussions, performance improvements, calculations, projections, or results presented through our Services are provided for educational or illustrative purposes and should not be interpreted as guarantees.

Results depend on numerous factors outside our control, including individual skill, effort, experience, market conditions, employer policies, restaurant operations, clientele, location, economic conditions, implementation, and other circumstances.

Nothing provided through the Services constitutes individualized legal, tax, accounting, investment, financial, employment, or other regulated professional advice.

12. TESTIMONIALS AND CASE STUDIES

Testimonials, reviews, case studies, performance examples, and participant experiences represent the experiences of the individuals or organizations described.

They should not be interpreted as representations that every purchaser or participant will achieve identical or comparable results.

Where appropriate, material relationships or incentives associated with testimonials will be disclosed as required by applicable law.

13. AMAZON AND OTHER AFFILIATE LINKS

The Services may contain affiliate links to products or services offered by third parties, including Amazon.

When you follow an affiliate link and make a qualifying purchase, The 100K Server™ may receive a commission or other compensation.

Unless expressly identified as a product directly sold by us, third-party products are sold, processed, fulfilled, shipped, and supported by the applicable third-party retailer or seller.

The 100K Server™ does not control third-party inventory, shipping, warranties, returns, refunds, product safety, pricing, or customer service.

Questions or disputes concerning a third-party purchase should be directed to the applicable seller or platform.

Purchases made directly from The 100K Server™ are transactions between you and The 100K Server™, not Shopify.

To the extent permitted by applicable law, Shopify is not responsible for products or services directly sold by The 100K Server™ or for injuries, damages, disputes, or losses arising from those transactions.

Your use of Shopify-powered functionality may additionally involve Shopify's applicable terms and privacy practices.

18. PRIVACY

Personal information collected through the Services is handled in accordance with our Privacy Policy and applicable law.

Because certain Services are provided using third-party platforms, information may also be processed by service providers necessary to operate our website, payments, communications, analytics, or other functionality.

19. FEEDBACK, REVIEWS AND USER SUBMISSIONS

If you voluntarily submit reviews, testimonials, comments, suggestions, photographs, videos, feedback, or similar content to us, you represent that you have the necessary rights to provide that material.

Unless otherwise agreed in writing, you grant us a non-exclusive, worldwide, royalty-free license to reproduce, display, publish, distribute, and use voluntarily submitted reviews and feedback for legitimate business, promotional, educational, and marketing purposes, subject to applicable law.

You remain responsible for the accuracy and legality of content you submit.

20. PROHIBITED USE

You may not use the Services to:

  • Share restricted account credentials;

  • Commit fraud;

  • Build competing commercial training materials through unauthorized reproduction of our protected materials; or

We may restrict or terminate access where we reasonably determine these Terms have been violated.

21. TERMINATION OF ACCESS

We may suspend or terminate access to an account, membership, course, certification platform, or other Service when a user materially violates these Terms, infringes intellectual-property rights, shares unauthorized materials, commits fraud, abuses our systems, or otherwise engages in prohibited conduct.

Termination does not eliminate payment obligations already incurred.

Provisions concerning intellectual property, licensing restrictions, disclaimers, limitation of liability, indemnification, and other provisions that by their nature should survive will remain effective following termination.

22. DISCLAIMER OF WARRANTIES

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

WE MAKE NO GUARANTEE THAT THE SERVICES WILL ALWAYS BE AVAILABLE, ERROR-FREE, UNINTERRUPTED, OR SUITABLE FOR EVERY USER OR BUSINESS.

WE DISCLAIM WARRANTIES TO THE EXTENT SUCH WARRANTIES MAY LAWFULLY BE DISCLAIMED.

Nothing in these Terms excludes warranties or consumer rights that cannot legally be excluded.

23. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, THE 100K SERVER™, ITS OWNERS, AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATING TO YOUR USE OF THE SERVICES.

THIS MAY INCLUDE LOST PROFITS, LOST REVENUE, LOST BUSINESS OPPORTUNITIES, LOSS OF DATA, OR SIMILAR DAMAGES.

Nothing in these Terms limits liability where such limitation is prohibited by applicable law.

24. INDEMNIFICATION

To the extent permitted by law, you agree to indemnify and hold harmless The 100K Server™, its affiliates, officers, employees, contractors, licensors, and service providers from third-party claims, damages, liabilities, costs, and reasonable attorneys' fees arising from your:

  1. Material violation of these Terms;

  2. Unlawful use of the Services;

  3. Infringement of another person's intellectual-property or legal rights; or

  4. Unauthorized reproduction, distribution, or commercial exploitation of our proprietary materials.

25. REFUND POLICY

Purchases are subject to our separately published Refund & Return Policy, which is incorporated into these Terms by reference.

Digital products, proprietary educational materials, memberships, programs, physical products, and third-party affiliate purchases may have different refund and cancellation rules.

26. ERRORS AND CORRECTIONS

Information provided through the Services may occasionally contain typographical errors, pricing errors, omissions, or inaccuracies.

We reserve the right to correct such errors and update information where permitted by applicable law.

27. SEVERABILITY

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed where necessary.

The remaining provisions will continue in effect.

28. WAIVER

Failure to enforce a provision of these Terms does not constitute a waiver of that provision or any other right.

29. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy, Refund Policy, applicable enrollment agreements, licensing agreements, certification requirements, and other policies expressly incorporated by reference, constitute the agreement governing your use of the applicable Services.

Program-specific agreements may supplement these Terms.

30. ASSIGNMENT

You may not transfer or assign your rights or obligations under these Terms without our prior written permission.

We may assign our rights and obligations in connection with a merger, acquisition, corporate restructuring, transfer of intellectual property, sale of assets, or other legitimate business transaction, subject to applicable law.

31. GOVERNING LAW

These Terms and disputes arising from them will be governed by the laws applicable in the jurisdiction where the entity operating The 100K Server™ is headquartered, without regard to conflict-of-law principles, except where mandatory consumer law requires otherwise.

Venue and jurisdiction will be determined in accordance with applicable law and any additional dispute-resolution agreement governing the applicable Service.

32. CHANGES TO THESE TERMS

We may update these Terms periodically to reflect changes in our Services, products, business practices, technology, or legal obligations.

The current version will be posted on our website with an updated effective date.

Where legally required, we will provide additional notice of material changes.

Continued use of the Services following the effective date of revised Terms constitutes acceptance to the extent permitted by applicable law.
